The BUYER exclusively authorizes ÇUHADAROĞLU A.Ş. to plan, coordinate, manage and finalize consultancy services related to portfolio presentation, site inspections, technical evaluation, negotiations with the seller and acquisition procedures.

Scope of Authorization includes:

• Completion of acquisition and transfer
A Consultancy Service Fee of 3% (three percent) + VAT shall be calculated based on the sale price determined in the first sales agreement, preliminary protocol or written mutual agreement signed between the Buyer and Seller.
Any declaration of a lower official sale price during title deed transfer or company transfer shall not affect the calculation or payment obligation of the Consultancy Service Fee.
The Service Fee shall be paid in full in cash by the BUYER at the time of official transfer.
Distribution of the total 3% + VAT:
• 1% + VAT payable to ÇUHADAROĞLU A.Ş. for investment consultancy services
• 2% + VAT payable to the intermediary firm and/or its representatives
All commercial, financial, legal, operational and technical information obtained regarding the investment assets, sellers and BUYER are deemed confidential.
The parties agree not to disclose or use such information for purposes other than the intended transaction.
Confidentiality obligation remains valid indefinitely, even if the transaction does not occur.
For a period of 1 year from the signing date, if the BUYER or related persons/entities (including relatives up to third degree, partner companies, or entities directly/indirectly controlled) acquire the presented investment assets, the Consultancy Service Fee remains valid.
Technical reports, financial analyses, legal review documents and presentation files will be shared via written or digital communication channels.

This document enters into force upon mutual signature.
In case of modification, transfer or misuse, all legal rights of ÇUHADAROĞLU A.Ş. are reserved.
In case of disputes, the Courts and Enforcement Offices of Ankara shall have jurisdiction.
